INTRODUCTION
Digi Learnix website (“Digi Learnix”, “we”, “us”) is owned and managed by Komal Nagar. Unless specifically and separately agreed in the present agreement or any other similar agreement, this Agreement serves the Client’s (“you”) and Digi Learnix’s relation and further governs the usage of Digi Learnix’s services by you. The present agreement also administers the practice of digilearnix.in and other affiliated services by you.
We advise and urge earnestly that you please carefully go through the terms of the present agreement. Your express move of subscribing constitutes an acknowledgment that you have read and completely understood the facets, aspects, implications, and effects of the present agreement, and you expressly consent to be obliged by the terms of the present agreement without any restrictions and qualifications.
1. PLATFORM AND SERVICES
Digi Learnix is an exhaustive platform for passionate individuals and businesses to gain the most viable and apposite bundle of extensive knowledge to further enhance their respective businesses. Digi Learnix envisages stocking individuals and companies with workable solutions and radical ways to strengthen their existing business or establish and manifest an idea of business into reality through the emphatic assistance of our E-Learning sessions, recordings, live lectures, and handholding programmes.
The CONSULTANT shall utilize its best efforts to provide for CLIENT a professional digital marketing analysis and evaluation with recommendations for the improvement of CLIENT’S business based on CONSULTANT’S tried and proven management consulting techniques. The CLIENT understands that recommendations made by the CONSULTANT are purely advisory and that the CLIENT must exercise CLIENT’S independent judgment about the application of those recommendations.
2. DELIVERABLES
As a part of the Agreement, the Client will have access to the following:
2.1 Strategy Call — Rs.49 (Fully Refundable) A one-on-one strategy call where Digi Learnix’s expert will understand CLIENT’s situation and clearly explain how the Digi Lakshay Eco-System will work for CLIENT’s specific business. This fee is fully refundable if CLIENT feels no benefit was received from the call.
2.2 Plan 1 — Digi Lakshay Course — Rs.9,999
2.3 Plan 2 — Digi Lakshay Ecosystem Setup — Rs.49,999
2.4 Plan 3 — Digi Lakshay Hand holding Programme — Rs.99,999
2.5 That CLIENT understands and agrees that should the CONSULTANT be unable to provide the service at the scheduled date, day, and time due to circumstances out of the control of CONSULTANT, the CONSULTANT will reschedule this service for CLIENT at the earliest possible time agreed to by both CLIENT and CONSULTANT.
2.6 That we reserve the right to modify the course and consulting material, content, schedule, duration, or any other aspect at any time without prior notice.
2.7 That after completing the tasks outlined in the recordings, you will be required to email your implementation work to us at support@digilearnix.in regularly.
2.8 Support via community and mail with a success coach. Duration of sessions, consulting, community, content, and recording access to service via LMS is 6 months for Plan 3.
3. EXCHANGE OR PAYMENT, CHARGES
3.1 That every CLIENT who subscribes to the courses and consulting available on the website has to prepay the amount mentioned on Digi Learnix’s server, and on successfully making the payment, the client will be provided complete access to the services of Digi Learnix.
3.2 That all payments for courses, subscriptions, or programs will be made exclusively through Razorpay. By making a payment through these services, you agree to comply with the terms, conditions, and privacy policies of the respective third-party platforms.
3.3 That the CLIENT’S enrolment in any course or program will be confirmed only upon successful receipt of full payment. A confirmation email regarding your payment and enrolment will be sent to the registered email address within 48 hours of the transaction.
3.4 That the CLIENT shall be solely responsible for any applicable taxes, charges, or levies imposed under prevailing laws in connection with the purchase of any course, subscription, or program.
3.5 That in the event that the CLIENT’S payment is declined by their bank, card issuer, or the payment gateway, we are under no obligation to provide them access to any course or program. In case of a failed transaction where the amount has been deducted but services were not provided, client shall send us the intimation with complete transaction details on our registered email id connect@digilearnix.in. Upon verification, the amount will either be adjusted against your enrolment or refunded (if eligible) within 7 working days.
3.6 That we do not store or have access to CLIENT’S full payment information, including credit/debit card numbers, CVV, or banking passwords. All sensitive data is securely collected and processed directly by the payment gateway.
3.7 For Plan 3 — Digi Handholding Programme — CLIENT agrees to pay a total fee of Rs.99,999/- INR. Upon receipt of full payment, the CLIENT will be granted access to the classes, community, and portal for the duration of the consulting period.
4. REGISTRATION PROCEDURES
4.1 Visiting digilearnix.in, going through the preview to get a better idea of the services offered, and if interested, booking a Strategy Call at Rs.49.
4.2 The CLIENT receives a strategy call from Digi Learnix or Team at CLIENT’s desired time and the availability of our team.
4.3 Digi Learnix’s team will review the CLIENT’s application within 24 hours. If the CLIENT is eligible, a slot will be provided for the strategy call.
4.4 If the CLIENT does not appear for the booked slot, the CLIENT will be permanently blacklisted. No second chance will be provided under any circumstance.
4.5 For Plan 3 — the CLIENT can enroll and secure his/her slot. Registration fee must be paid in advance. The remaining payment needs to be completed within the next 14 days to confirm enrollment in the batch.
4.6 If the payment is not completed as specified, we reserve the right to terminate your registration/enrollment whereby the CLIENT waives off his/her right to claim refund of the registration fees.
4.7 The CLIENT shall provide the required documentation and information within seven (7) days from the date of the relevant request made by Digi Learnix, via official mail support@digilearnix.in.
4.8 Only one (1) additional team member may attend the classes along with the CLIENT for Plan 3. Team members are granted access to live classes only and will not be provided access to the community or portal.
4.9 Once the batch starts and CLIENT receives LMS access, He/She will be given weekly assignments that must be completed and submitted on time to support@digilearnix.in.
4.10 All official communication shall be conducted via email support@digilearnix.in.
4.11 In the event that a CLIENT is unable to attend or avail the course after purchase due to unavoidable circumstances, we may, at our sole discretion, allow the CLIENT to defer participation and be enrolled in the next available batch. Such a request must be made within 6 months from the original date of enrolment. Only one deferral request will be considered per CLIENT.
5. PROHIBITED CONDUCT
Users of the website agree not to engage in any of the following prohibited activities:
5.1 Restrict, inhibit, or interfere with any other user’s ability to use and enjoy the website.
5.2 Use the portal to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity.
5.3 Interfere with or disrupt any servers or networks used to provide the website or its features.
5.4 Use the portal to instigate, encourage, or engage in illegal activities, or to cause injury or damage to any person or property.
5.5 Gain or attempt to gain unauthorized access to the portal through hacking, password mining, or any other unlawful means.
5.6 Post or transmit any content that is unlawful, threatening, abusive, libelous, defamatory, obscene, or otherwise indecent.
5.7 Post or transmit any content that infringes upon the rights of others, including intellectual property rights or privacy rights.
5.8 Post, transmit, or otherwise exploit any content or materials from the portal for commercial purposes without prior written authorization.
6. DEFAMATION AND REPUTATIONAL HARM
The Client agrees not to engage in any act, directly or indirectly, that may harm the reputation, goodwill, or public perception of Digi Learnix, its founders, team members, affiliates, services, or its offerings, including but not limited to posting or encouraging defamatory, false, misleading, or malicious statements, reviews, or content on any public or private platform including social media, forums, blogs, or review sites.
Any such act of defamation, slander, or coordinated attempt to damage the credibility of Digi Learnix shall be considered a material breach of this Agreement. In such cases, Digi Learnix reserves the right to terminate the course and pursue appropriate legal action, including claims for damages, injunctions, and other remedies available under applicable law, including but not limited to provisions under the Indian Penal Code and the Information Technology Act.
7. REFUND POLICY
Digi Learnix does not warranty or guarantee any specific level of performance or results. Examples of results obtained from other clients of Digi Learnix may be used as a marketing tool and shown to the Client for demonstrative purposes only and should not be construed by the Client as indicating any promised results or level of results.
7.1 Strategy Call — Rs.49 If after the call CLIENT feels no benefit was received — Rs.49 will be refunded immediately. Full refund. No questions asked.
7.2 Plan 1 — Digi Lakshay Course — Rs.9,999 No Refund. This is a digital product. Once access is granted, no refund will be issued under any circumstance whatsoever.
7.3 Plan 2 — Digi Lakshay Ecosystem Setup — Rs.49,000 No Refund. This is a service-based engagement. Once work commences, our team’s time and resources are committed. No refund will be issued under any circumstance whatsoever.
7.4 Plan 3 — Digi Lakshay Hand holding Programme — Rs.99,999 We offer a limited refund window of 7 days from the date of enrolment. Refund requests made after this 7-day period will not be accepted under any circumstances. By enrolling in this programme, you acknowledge and agree to this no-refund policy beyond the specified period.
7.4.1 If you quit the batch after 7 days of registration/enrolling and before the programme starts — there will be no refund.
7.4.2 If you have registered for a specific batch but are unable to complete the payment — your registration will be terminated and no refund will be issued.
7.4.3 If we suspend or terminate your access due to violation of terms and conditions like sharing course material, misuse, or abusive conduct — you will not be entitled to any refund or compensation.
7.4.4 Refunds will only be issued if you strictly comply with all instructions and directions provided by Digi Learnix from time to time, and if you complete all assigned tasks within the specified timeframes.
7.4.5 If you do not follow the execution instructions as taught by the consultant, delay the execution by 30 days from the day of learning it, or do not complete assignments as required — this shall be considered null and void and no refund will be issued.
7.4.6 In the event of an unavoidable situation where a CLIENT needs to pause the programme, a written application must be submitted within the validity of the programme to support@digilearnix.in. To reactivate the programme (for balance months), a minimal reactivation fee of Rs.2,500/- will be applicable.
7.4.7 Refunds will only be issued to the original payment method and will be processed within 7 working days of approval.
8. TERMINATION
8.1 Termination for Unprofessional Conduct: Act professionally at all times during the online course. This includes avoiding material theft, proprietary infringement, profanity, indecorous behavior in live sessions, or any other actions considered unprofessional. If such behavior occurs, the contract may be terminated and the subscription amount forfeited.
8.2 If you are not cooperating with the process: Digi Learnix holds all the right that if you are not cooperating and not implementing the process as instructed, not following the necessary system and process, Digi Learnix may pause your sessions and may not allow you to attend without any further explanation. Digi Learnix can also terminate your membership due to such non-cooperative activities with absolute zero refund/compensation and this case shall be considered null and void in the eyes of the law.
9. CONFIDENTIAL INFORMATION
9.1 During the term of this Agreement, Digi Learnix will be disclosing course content comprising valuable, confidential, and proprietary information. Digi Learnix Confidential Information shall mean any such information provided to the subscribed individual including Worksheets, Slides, Spreadsheets, Example Sales Call Recordings, Checklists, Private Video Presentation Templates/Scripts, Swipe Files, Proposal Templates, other materials on Private Group, Weekly Sessions, and any email support.
9.2 No client will, without prior written consent of Digi Learnix, disclose Digi Learnix Confidential Information to any third party or otherwise jeopardize the confidential nature of the Digi Learnix Confidential Information.
9.3 The client agrees that all Digi Learnix Confidential Information will be held in the strictest confidence and will not be copied, reproduced, or altered, either in whole or in part, by any method whatsoever unless agreed upon in writing by Digi Learnix.
9.4 Upon the earlier request of the disclosing party or the expiration or termination of this Agreement, the recipient party will return all Confidential Information, in whatever form or media, retaining no copies of the same in any form whatsoever.
10. INTELLECTUAL PROPERTY
All services performed hereunder, including but not limited to the Worksheets, Slides, Spreadsheets, Recordings, Checklists, Templates, Scripts, Swipe Files, Proposal Templates, materials on Private Community Group, Sessions, and any email support — all documents, data, and other information of any kind developed or created by Digi Learnix shall be and shall remain the property of Digi Learnix and may not be used by the CLIENT for any other purpose.
All applicable rights to patents, copyrights, trademarks, trade secrets, and all other Intellectual Property Rights in and to the Service Product are, shall vest, and shall remain in Digi Learnix.
11. PUBLICITY AND EXHIBITION OF RESULTS
11.1 On entering into the present agreement, the CLIENT relinquishes certain rights in favor of Digi Learnix, including the right to publicize and exhibit the resultant success of the CLIENT after pursuing the courses and programmes offered by Digi Learnix.
11.2 Digi Learnix is under no mandate to take any prior permission from the CLIENT to publicly display their success through display of CLIENT’s improvement and business augmentation eventuating from the programmes subscribed to by the CLIENT.
11.3 If the CLIENT has any objection to displaying their credentials as part of Digi Learnix’s Public Portfolio, a written intimation must be tendered to Digi Learnix at support@digilearnix.in.
12. DISPUTE RESOLUTION
12.1 All disputes and disagreements arising during the execution of this agreement shall be resolved by the Parties through Arbitration.
12.2 The claim must be sent within 5 (five) days from the date of occurrence of the event which was the basis for its submission at support@digilearnix.in.
12.3 The term for consideration of the CLIENT’s claim is 14 working days from the date of receipt of the claim by Digi Learnix.
12.4 All disputes, controversies, or claims between the Parties hereto arising out of or relating to this agreement shall be subject to the exclusive jurisdiction of the courts at Maharashtra, India.
12.5 This agreement shall be construed and enforced under the laws of India. The parties consent to the jurisdiction of Maharashtra and agree that the venue of any legal action shall be Maharashtra, India.
13. NON-DISCLOSURE AND NON-COMPETE
13.1 The CLIENT hereby agrees that he/she/it shall hold in confidence and shall not use, commercialize, or disclose any Digi Learnix Confidential Information to any person or entity.
13.2 The CLIENT undertakes to use at least the same degree of care in safeguarding Digi Learnix Confidential Information as he/she/it uses or would use in safeguarding his/her/its own Confidential Information.
13.3 The CLIENT inclusive of his/her/its direct beneficiaries in business, interest, and title hereby agrees not to directly or indirectly compete with the business of Digi Learnix and its successors and assigns during the term of the agreement and for a period of Three (3) months following the expiration or termination of this contract.
14. MISCELLANEOUS
14.1 Entire Agreement: This agreement constitutes the entire agreement between the parties and supersedes any or all prior agreements, understanding, negotiation, warranty, or representation between the parties in connection with the subject matter of this Agreement.
14.2 Force Majeure: Neither Party shall be liable to the other for any delay or failure to perform due to fire, flood, strike, act of God, earthquakes, war, terrorism, global pandemic, or any other causes beyond its reasonable control.
14.3 Digi Learnix reserves the right to amend the provisions of this Policy. The CLIENT guarantees that he/she will follow the updates of the Policy which is always freely available on Digi Learnix’s website.
14.4 Waiver: The failure of either party to promptly enforce or seek remedy for the breach of any provision of this agreement shall not constitute a waiver of such provision or any part thereof.
14.5 Severability: If any provision of this Agreement shall be held to be illegal, invalid, or unenforceable, such provision shall be fully severable, and this Agreement shall be construed and enforced as if such illegal, invalid, or unenforceable provision had never comprised a part of this Agreement.
